These Terms of Service ("Terms", "Agreement") govern the use of web hosting and related services ("Services") provided by WebPal ("WebPal", "we", "us", or "our") to the customer ("Customer", "you", or "your").
By ordering, activating, or using any WebPal hosting service, you acknowledge that you have read, understood, and agreed to these Terms.
WebPal provides web hosting and related services, which may include shared hosting, reseller hosting, domain-related services, email hosting, SSL certificates, databases, storage, backups, and other services offered by WebPal from time to time.
The features, resource limits, specifications, and restrictions applicable to your account depend on the hosting package or service you have purchased.
WebPal reserves the right to modify, upgrade, replace, or discontinue features of the Services where reasonably necessary.
You must provide accurate and complete information when creating an account with WebPal.
You are responsible for:
Providing accurate account and contact information.
Keeping your account information up to date.
Maintaining the confidentiality of your login credentials.
All activity conducted through your hosting account.
Informing WebPal promptly if you believe your account has been compromised.
You must not provide false, misleading, or fraudulent information when registering for or using the Services.
WebPal may request verification of account information where reasonably necessary for security, fraud prevention, abuse prevention, or legal compliance.
You agree to use the Services only for lawful purposes and in accordance with these Terms.
You must not use WebPal's infrastructure to:
Violate any applicable law or regulation.
Host or distribute malware, viruses, ransomware, or other malicious software.
Conduct phishing, credential theft, identity theft, or other fraudulent activities.
Send unsolicited bulk email or operate spam campaigns.
Conduct attacks against other systems, networks, servers, or users.
Attempt to gain unauthorized access to systems or accounts.
Host content that infringes third-party intellectual property rights.
Operate services designed to facilitate illegal activities.
Interfere with the operation or security of WebPal's infrastructure.
Abuse network, CPU, memory, storage, database, email, or other resources in a manner that negatively affects other customers.
Circumvent resource limits, security controls, suspension mechanisms, or other technical restrictions.
Use a shared hosting account as a substitute for a dedicated server, VPS, cloud server, or other infrastructure where the workload is unsuitable for shared hosting.
WebPal may investigate suspected violations and take appropriate action, including limiting, suspending, or terminating Services.
Shared hosting resources are shared among multiple customers. Accordingly, shared hosting accounts are subject to a Fair Usage Policy.
The resources available to an account may include, but are not limited to:
Disk storage
CPU usage
RAM usage
Inode/file count
Database usage
Email storage
Email sending
Network bandwidth
Concurrent processes
I/O usage
Server connections
Other system resources
A hosting package may advertise a specific storage allowance or other resource limit. Customers must remain within the limits applicable to their package.
For shared hosting services subject to a 10,000 MB (10 GB) Fair Usage Policy storage limit, customers must maintain disk usage at or below 10,000 MB unless WebPal has expressly approved otherwise in writing.
Usage substantially exceeding the applicable limit may be considered a violation of the Fair Usage Policy.
Where practical, WebPal may notify the Customer and provide a period of 7 days to reduce usage to the permitted level.
If the Customer fails to reduce usage within the specified period, WebPal may restrict, suspend, or terminate the affected hosting account.
Even where an account is within its advertised storage limit, WebPal may take action where the account consumes excessive CPU, memory, I/O, processes, database resources, email resources, or other shared resources in a manner that adversely affects server stability or other customers.
WebPal may first request that the Customer optimize the affected application, reduce resource consumption, or move to a more appropriate hosting service.
If the issue is not resolved, WebPal may temporarily restrict or suspend the affected service.
The following may not be hosted or operated using WebPal Services where prohibited by applicable law or WebPal's policies:
Malware and malicious code.
Phishing websites.
Fraudulent websites or schemes.
Credential harvesting pages.
Botnets or command-and-control infrastructure.
Cryptocurrency mining that adversely affects shared resources.
Spam-related infrastructure.
Services intended to facilitate cyberattacks.
Copyright-infringing material where WebPal receives a valid complaint or legal notice.
Content or activities that create a significant security, legal, or operational risk to WebPal or its infrastructure.
WebPal may remove or restrict access to content that violates these Terms or applicable law.
Customers using WebPal email services must comply with applicable anti-spam and electronic communications laws.
You must not use WebPal's servers to send:
Unsolicited bulk email.
Spam.
Phishing messages.
Malware.
Fraudulent communications.
Email containing misleading sender information.
WebPal may impose sending limits, rate limits, or other restrictions to protect email reputation and server stability.
WebPal may suspend email services where an account is responsible for spam, abuse, compromised-account activity, or other harmful email activity.
Customers are responsible for maintaining their own backups of important data.
Although WebPal may provide backups as part of certain Services, backups are provided as an additional service or convenience and should not be considered a guarantee that all data can always be restored.
WebPal does not guarantee that backups will be:
Available at all times.
Complete.
Error-free.
Retained for a particular period.
Restorable in every circumstance.
Customers should maintain independent backups of critical websites, databases, emails, and other data.
Customers are responsible for maintaining the security of their websites and applications.
This includes:
Keeping CMS software updated.
Keeping plugins and themes updated.
Using strong passwords.
Protecting administrative accounts.
Removing outdated or vulnerable software.
Taking reasonable measures to prevent unauthorized access.
If a hosting account, website, application, or email account is compromised, WebPal may temporarily suspend or restrict the affected service to protect its infrastructure and other customers.
Services must be paid for according to the pricing and billing terms applicable at the time of purchase.
Unless otherwise stated, Services may be suspended or terminated when an invoice remains unpaid after its applicable due date.
Customers are responsible for ensuring that payment information is valid and that sufficient funds are available for renewal payments where automatic renewal is enabled.
WebPal may change its prices by providing reasonable notice where required by applicable law.
WebPal may suspend or restrict a Service where reasonably necessary, including in cases involving:
Non-payment.
Violation of these Terms.
Violation of the Fair Usage Policy.
Excessive resource consumption.
Security threats.
Malware or compromised accounts.
Spam or abuse.
Illegal activity.
Threats to server stability.
Risk to other customers.
Requests from competent authorities or where required by law.
Where circumstances permit, WebPal may provide advance notice and an opportunity to correct the issue.
However, WebPal may suspend a Service immediately where necessary to protect its infrastructure, customers, third parties, or legal interests.
Either party may terminate the Services in accordance with the applicable service terms.
WebPal may terminate an account where the Customer:
Materially violates these Terms.
Continues to violate the Fair Usage Policy after receiving notice.
Uses the Services for illegal or abusive activities.
Fails to pay applicable fees.
Creates an unacceptable security or operational risk.
Provides fraudulent or materially misleading information.
Upon termination, access to the affected Services may cease and associated data may be deleted following any applicable retention period.
Customers are responsible for obtaining their data before termination where access remains available.
Where WebPal provides domain registration or related domain services, domain names are subject to the policies and requirements of the applicable domain registry, registrar, and relevant authorities.
Registration does not guarantee that a particular domain name will remain available or that a domain registration can be transferred, renewed, or maintained indefinitely.
Customers are responsible for ensuring that their domain registration information remains accurate.
Customers retain ownership of content and materials they lawfully upload to their hosting accounts.
By using the Services, you grant WebPal the limited rights necessary to store, process, transmit, and display your content solely for providing the Services.
You must have the necessary rights, licenses, and permissions for all content hosted through your account.
WebPal does not claim ownership of customer website content merely because it is hosted on WebPal infrastructure.
WebPal takes reports of abuse, security incidents, fraud, and intellectual property infringement seriously.
Where WebPal receives a credible complaint or legal notice, it may investigate the matter and take appropriate action, including requesting removal of content or restricting access to affected Services.
Customers agree to cooperate reasonably with legitimate investigations relating to their use of the Services.
WebPal will make reasonable efforts to maintain the availability and reliability of its Services.
However, WebPal does not guarantee uninterrupted or error-free service.
Service interruptions may occur because of:
Scheduled maintenance.
Emergency maintenance.
Hardware failure.
Software failure.
Network problems.
Data-center issues.
Security incidents.
Internet infrastructure failures.
Events outside WebPal's reasonable control.
Nothing in these Terms excludes rights or remedies that cannot legally be excluded under applicable law.
To the maximum extent permitted by applicable law, WebPal will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use the Services.
This may include loss of:
Revenue.
Profits.
Business opportunities.
Data.
Website traffic.
Reputation.
Business operations.
To the maximum extent permitted by applicable law, WebPal's total liability arising from a particular Service will be limited to the amount paid by the Customer for that Service during the applicable period preceding the event giving rise to the claim.
This limitation does not apply where liability cannot legally be limited or excluded.
You agree to indemnify and hold WebPal, its officers, employees, contractors, and service providers harmless from claims, damages, liabilities, costs, and expenses arising from:
Your violation of these Terms.
Your unlawful use of the Services.
Your content.
Your violation of third-party rights.
Your misuse of WebPal infrastructure.
This obligation applies to the extent permitted by applicable law.
WebPal may update these Terms from time to time.
Updated Terms may be published on WebPal's website and may become effective from the date specified in the updated version.
Continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
WebPal may collect and process information necessary to provide, maintain, secure, and administer the Services.
Customer information will be handled in accordance with WebPal's applicable Privacy Policy and relevant data-protection laws.
WebPal will not be responsible for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control.
Such circumstances may include natural disasters, war, civil unrest, government actions, telecommunications failures, internet outages, power failures, cyberattacks, infrastructure failures, or failures of third-party providers.
These Terms shall be governed by and interpreted in accordance with the laws of Nepal, without regard to conflict-of-law principles.
Any dispute arising from these Terms or the Services shall be subject to the jurisdiction of the competent courts of Nepal, unless applicable law requires otherwise.
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable.
The remaining provisions shall continue in full force and effect.
These Terms, together with any applicable service-specific terms, Fair Usage Policy, Privacy Policy, refund policy, and other policies published by WebPal, constitute the agreement between WebPal and the Customer regarding the Services.
Where there is a conflict between these Terms and a specific service agreement, the specific service agreement will prevail to the extent of the conflict.
